"AGREEMENT FOR TOWER AND CHANNELS AT MARY'S MOUNTAIN SITE"


THIS AGREEMENT, made and entered into this 8th day of February, 1999, between CARLIN TELEVISION DISTRICT and EUREKA COUNTY TELEVISION DISTRICT.

The CARLIN TELEVISION DISTRICT AND EUREKA COUNTY TELEVISION DISTRICT hereby agree as follows:

  1. The DISTRICTS agree to share equally the installation and maintenance of the Tower and Channel on the Mary's Mountain Site with respect to Channel 56.


  2. EUREKA COUNTY TELEVISION DISTRICT agrees to solely maintain Channels 36 and 54.


  3. CARLIN TELEVISION DISTRICT agrees to pay fully the FCC Licensing Fees and renewal of said fees for Channels 54 and 56.


  4. CARLIN TELEVISION DISTRICT agrees to pay fully the subscription fee for Channel 56 until the EUREKA COUNTY TELEVISION DISTRICT SUBSCRIBER number increases or until the review and/or renewal of this Agreement.


  5. All invoices from Technician for Channels 36, 54, and 56 shall be paid by the CARLIN TELEVISION DISTRICT and then forwarded to EUREKA COUNTY TELEVISION DISTRICT for full reimbursement for Channels 36 and 54. Invoices will be forwarded to EUREKA COUNTY TELEVISION DISTRICT for reimbursement of 1/2 for Channel 56.


  6. CARLIN TELEVISION DISTRICT requests EUREKA COUNTY TELEVISION DISTRICT or their Technician to notify and obtain approval by a CARLIN TELEVISION DISTRICT BOARDMEMBER or the Secretary when the Technician will be working on the Mary's Mountain Site. If aproval is not obtained, payment may be delayed.


  7. If either DISTRICTS or their Affiliates wish to install future equipment (i.e., antennas, channels, satellites, etc.) they need to notify and receive approval from the other District.


  8. The DISTRICTS agree to review and/or renew this Agreement every 4 years.


  9. If either DISTRICT wishes to terminate this Agreement at any time, said District must give 30 day WRITTEN NOTICE and everything will revert back to the CARLIN TELEVISION DISTRICT.


IN WITNESS WHEREOF, the DISTRICTS have caused this "Agreement" to be executed by the appropriate Officers of the DISTRICTS hereto the day and year first above set forth.
